| dc.description.abstract | Статтю присвячено дослідженню низці дискусійних у юридичній теорії та практиці питань щодо суб’єктного складу корпоративних спорів. Авторка визначає сторін корпоративного спору та з’ясовує, які юридичні особи можуть виступати учасниками таких спорів. Розглянуто наукові підходи та до визначення поняття «корпорація» й обґрунтовується недоцільність використання даного терміну для позначення юридичної особи – учасника корпоративного спору. На підставі аналізу наукових напрацювань та судової практики, авторка пропонує визначення юридичної особи корпоративного типу як учасника корпоративного спору та розкриває її особливості. У статті наведено ряд актуальних правових позицій Верховного Суду щодо спорів за участі юридичних осіб різних організаційно-правових форм та проаналізовано обґрунтованість їх віднесення до корпоративних спорів. The article is devoted to the study of a number of controversial issues in legal theory and practice on the subject composition of corporate disputes. The author identifies the parties to a corporate dispute and finds out which legal entities may be parties to such disputes. Scientific approaches to the definition of “corporation” are considered and the inexpediency of using this term to denote a legal entity – a party to a corporate dispute is substantiated. Based on the analysis of scientific developments and case law, the author proposes the definition of a corporate legal entity as a participant in a corporate dispute and reveals its features. A number of current legal opinions of the Supreme Court on disputes involving legal entities of various legal organizational forms are presented and the reasonableness of their qualification as corporate disputes is analyzed. | |
