Abstract
У статті висвітлено умови розвитку комплаєнсу та основні події і акти загальнообов’язкового та рекомендаційного характеру, які вплинули на формування комплаєнсу як явища за кордоном та і в Україні. Авторкою розглянуто основні закордонні екстериторіальні законодавчі акти і міжнародно-правові акти, які співвідносяться із предметом дослідження, проаналізовано природу виникнення комплаєнсу, а також запропоновано підхід до періодизації розвитку комплаєнсу в Україні та світі у 3 етапи: етап І, який охоплює 1977-1997 роки, характеризується появою та розвитком комплаєнсу в США за відсутності підтримки міжнародною спільнотою заходів із заохочення здійснення корпоративним сектором комплаєнсу; етап ІІ, який тривав протягом 1997-2013 років, характеризується прийняттям нормативно-правових актів екстериторіальної дії та укладанням міжнародних угод, які передбачали зобов’язання держав зі створення умов для розвитку комплаєнсу, в Україні – початок розвитку комплаєнсу; етап ІІІ розпочався у 2014 році і триває й нині. Він є етапом активного здійснення комплаєнсу бізнес-сектором провідних країн світу, прийняття міжнародних стандартів і рекомендацій у сфері комплаєнсу. В Україні цей етап характеризується переглядом і посиленням прийнятих загальнообов’язкових та рекомендаційних актів щодо питань комплаєнсу. The article highlights the conditions for the development of compliance, as well as the main events and acts of mandatory and recommendatory nature, which influenced the formation of compliance as a phenomenon in Ukraine and abroad. The author considers major foreign extraterritorial legislation and international legal acts related to the subject of the study, analyzes the nature of compliance, and proposes an approach to the following 3-stage periodization of compliance in Ukraine and in the world. Stage I covers the years 1977-1997 and is characterized by the emergence and development of compliance in the United States of America in the absence of support from the international community for measures to encourage compliance among the business community. Stage II, which lasted during 1997-2013, is characterized by the adoption of foreign extraterritorial acts and the conclusion of international agreements, that provided for the obligation of states to create conditions for the development of compliance; the beginning of compliance development in Ukraine. Stage III, which began in 2014 and continues to this day – is the stage of active compliance implementation within the business sectors of the world’s leading countries, the adoption of international standards and recommendations in the field of compliance. In Ukraine the third stage is defined by a review and strengthening of recommendation and compulsory acts regarding compliance issues.
